Course Description: This course examines the essential terms that need to be included in construction contracts and the provisions that have the potential to be problematic for many designers and contractors who lack extensive contract experience.

Learning Objective 1:
Learners will be able to identify what needs to be in a construction contract for it to be effective, including all information about the construction parties, where notices should be sent, where the work will be performed, the scope of the work to be performed, a realistic schedule, and how to make changes to the work/change orders.

Learning Objective 2:
Learners will be able to identify what needs to be in a construction contract for it to be effective, including the payment schedule, retainage, how to respond to conditions the parties can’t control, insurance and indemnity, default and termination dispute resolution, quality of work and warranty, and attorney fees.

Learning Objective 3:
Learners will be able to identify and explain those contract provisions that have the potential to be problematic for designers and contractors, including the bid versus the scope of the work, the prime contract, contractor bonds, and delay damages.

Learning Objective 4:
Learners will be able to identify and explain those contract provisions that have the potential to be problematic for designers and contractors, including the “pay when paid” clause, personal guarantees, and prior work.
